Board of Directors & Officers

Directors of the board term limit is three years not to exceed up to four consecutive terms. Up to a fourth of the directors can be invited to serve an indefinite term. President and President Elect may not serve more than one elected term. The term of the Officers shall commence on January 1st and shall continue for a period of two years. Other officers may not serve more than three consecutive terms in the same office. In the event of a vacancy, the Chapter Board shall appoint an eligible member to fulfill the reminder of the term which would not apply to term limits.

Chapter board directors and officers are accountable for a variety of governance and management responsibilities. These might include, but are not limited to, the following:

  • Determining the chapter’s mission and purposes.
  • Supporting the chapter president and assessing his or her performance.
  • Ensuring effective organizational planning by being actively involved in the strategic planning process.
  • Deploying adequate resources to chapter officers and committee chairs.
  • Managing chapter resources effectively.
  • Enhancing the chapter’s public standing by meeting its members’ needs and communicating with the local media as needed.
  • Maintaining ethical and legal integrity and accountability for the funds and services provided for and by the chapter.
  • Attending board meetings as required by chapter bylaws.
  • Planning for future selection of directors/officers.
  • Ensuring that the chapter remains in good standing with ACHE by complying with any federal, state or local requirements and fulfilling all ACHE contractual obligations.

Board & Officer Positions

The President shall preside at all meetings of the Chapter and the Chapter Board, calling meetings of the Chapter Board as is necessary. The President serves as liaison with ACHE. The President shall exercise general supervision over the activities of the Chapter, shall assure adherence to the Bylaws and keep the members of the Chapter Board fully informed and consulted concerning the business of the Chapter. The President, in conjunction with the Treasurer, shall complete necessary annual forms for the Ohio Secretary of the State and other governmental organizations The President shall appoint subcommittees as necessary to carry out the objectives of the Chapter and shall serve as an ex-officio member of all such committees.

Term of Office: 2 Years, commencing on January 1st and continuing for a period of two years or until replaced by a subsequent election.

Qualifications:

  • Must be a current ACHE affiliate in good standing.
  • Must be a current FACHE.
  • Must maintain an active address in the ACHE of Greater Ohio area of responsibility.
  • Must be a member of ACHE of Greater Ohio who has completed at least one term as a Director.
  • Must demonstrate dedication to the ACHE of Greater Ohio and its mission.
  • Must possess good communication, leadership, and organization skills.

Responsibilities:

  • Serves as the visionary leader of the Chapter.
  • Leads the ACHE of Greater Ohio Board in accomplishing its goals and objectives.
  • Seeks new chapter leaders.
  • Leads the development and renewal of the chapter multi-year plan.
  • Serves as a full voting member of the Board of Directors (bod) and advises various committees.
  • Conducts meetings, formulates ideas, and delegates responsibility as appropriate.
  • Communicates effectively on all levels and capitalizes on every opportunity to positively represent ACHE of Greater Ohio at meetings and/or social events that would benefit the chapter and or/ACHE.
  • Participates in quarterly President calls with the ACHE region liaison.
  • Works closely with ACHE region liaison on ACHE of Greater Ohio policies and procedures.
  • Assists with coordination of ACHE of Greater Ohio networking events.

Attendance Responsibilities:

  • Attend ACHE Chapter Leadership Conference at least once during term.
  • Miss no more than two (2) Board meetings annually.

In the absence of the President, or if the President is unable to perform his/her key duties (as determined by the Chapter Board) the President’s duties shall be performed by the President-Elect. The President or the Chapter Board may assign such duties as will allow the President-Elect to become familiar with the duties of the Presidency and the bylaws, objectives and general affairs of the Chapter. Furthermore, the President Elect shall lead the coordination of all education opportunities for the Chapter.

The Chapter President-Elect shall assist and fill in for the Chapter President, as needed, And prepare plans for their term of office. This position will ensure a smooth Leadership transition as the future President gains experience in this role prior toBecoming the Chapter President. The President-Elect shall advance to President at the Completion of the preceding President’s term of office (without an election) once elected To the office of President-Elect.

  • Must be a member of ACHE of Greater Ohio who completed at least one term as a Director.
  • Must demonstrate dedication to the ACHE of Greater Ohio and its mission.
  • Must possess good communication, leadership, and organization skills.

Responsibilities:

  • Assumes the office of President at the expiration of the President’s term or earlier if the office becomes vacant for any reason.
  • Works closely with current President throughout the term as preparation for chapter presidency.
  • Assists in the development and renewal of the chapter multi-year plan.
  • Oversees the Educational function of the chapter and direct oversight of the Local Program Councils.
  • Serves as a full voting member of the Board of Directors (bod) and advises various committees, as may be assigned.
  • Communicates effectively on all levels and capitalizes on every opportunity to positively represent AHCE of Greater Ohio at meetings and/or social events that would benefit the chapter and/or ACHE.
  • Seeks new chapter members and leaders.

Attendance Responsibilities:

  • Attend ACHE Chapter Leadership Conference at least once during term.
  • Miss no more than two (2) Board meetings annually.

The Treasurer is responsible for maintaining the financial records of the Chapter. This includes recording and depositing program fees, issuing and signing checks for approved expenses, invoicing for accounts receivable (e.g. Sponsorship income), preparing regular financial reports, filing any reports required by federal or state government, ensuring that annual budgets are prepared and monitored, and obtaining financial audits, as may be required. In the absence of the President and President-Elect, the President’s duties shall be performed by the Treasurer.

  • Must be familiar with accounting processes.
  • Must possess budget development and financial management skills.

Responsibilities:

  • Maintain accurate records of the chapter's financial status.
  • Establishes/maintains a chapter checking account and obtains pertinent signature cards and resolutions in an appropriate banking institution.
  • Deposits all money received by the chapter in the chapter's accounts.
  • Pays all approved expenses.
  • Periodic review of investments, and make recommendations to the Board of Directors for approval.
  • Engages and coordinates financial audits, as may be required.
  • Ensure the chapter meets Federal and State tax obligations, which may involve coordination and oversight of financial filings with external accountant.
  • Develop the annual budget for the Board of Directors' approval.
  • Submit regular financial reports to the Chapter Board reconciling bank statements and an annual financial report to the Chapter and ACHE for review or as may be required.
  • Direct oversight of Sponsorship Committee.
  • Works with the ACHE of Greater Ohio Directors to identify non-dues (e.g. Sponsorship income) sources of income.
  • Serves as a full voting director of the Board of Directors. Communicates effectively on all levels and capitalizes on every opportunity to positively represent ACHE of Greater Ohio at meetings and/or social events that would benefit the chapter and/or ACHE.

Attendance Responsibilities:

  • Attend ACHE Chapter Leadership Conference at least once per term.
  • Miss no more than two (2) Board meetings annually.

The Secretary shall keep a report of the meetings of the Chapter. The Secretary shall also notify the members of their election to office, keep a roster of members, issue notices of all meetings, keep the minutes of the Chapter Board meetings and perform such other duties as may be assigned by the President and/or the Chapter Board. The Secretary shall maintain the records, website, newsletter and governing documents for the Chapter. The Secretary shall monitor and maintain the Chapter’s Performance Dashboard. The Secretary will work closely with the President to prepare the regular reports to ACHE national. In the absence of the President, President-Elect, and Treasurer, the President’s duties shall be performed by the Secretary.

  • Must be a current ACHE affiliate in good standing.
  • Status as a current Fellow is preferred.
  • Must maintain an active address in the ACHE of Greater Ohio area of responsibility.
  • Must demonstrate dedication to ACHE of Greater Ohio and its missions.
  • Must possess good communication, leadership and organizational skills.

Responsibilities:

  • Serves as a full voting director of the Board of Directors.
  • Leads the annual review of chapter Board Manual to insure that it reflects the current roster, organizational chart and ACHE leadership, and captures all existing committees and associated committee responsibilities.
  • Direct oversight of the Recruitment and Retention Committee.
  • Communicates effectively on all levels and capitalizes on every opportunity to positively represent AHCE of Greater Ohio at meetings and/or social events that would benefit the chapter and/or ACHE.
  • Seeks new chapter members and leaders.

Attendance Responsibilities:

  • Attend ACHE Chapter Leadership Conference at least once per term.
  • Miss no more than two (2) Board meetings annually.

The Chapter Immediate Past-President shall assist and fill in for the Chapter President, as needed, and shall directly the support the new President as they begin their term of office. The position will ensure a smooth leadership transition as the new Chapter President gains experience and gets settled into their new role.

Term of Office: 2 Years (commencing on January 1st or when the new Chapter President begins his or her tenure and continuing for a period of two years or until his or her immediate predecessor Presidents term expires).

Qualifications:

  • Must be a current ACHE affiliate in good standing.
  • Must be a current FACHE.
  • Must maintain an active address in the ACHE of Greater Ohio area of responsibility.
  • Must be a member of ACHE of Greater Ohio and served as the most recent Chapter President.
  • Must demonstrate dedication to the ACHE of Greater Ohio and its mission.
  • Must possess good communication, leadership, and organization skills.

Responsibilities:

  • Participates in the development or renewal of the chapter multi-year plan.
  • Serves as a full voting member of the Board of Directors (bod) and advises various committees, as may be assigned.
  • Oversight of the Nominating Committee.
  • Communicates effectively on all levels and seizes any opportunity to positively.
  • Represent ACHE of Greater Ohio at meetings and/or social events that would benefit the Chapter and/or ACHE.
  • Works closely with current President throughout the year to ensure a smooth leadership transition

Attendance Responsibilities:

  • Miss no more than two (2) Board meetings annually.

Board Directors are responsible for advancing the mission of ACHE of Greater Ohio through active participation on the board. Board members should support and contribute to the achievement of the Chapter objectives.

Qualifications:

  • Must be a current Chapter member in good standing.
  • ACHE Fellow credential is preferred.
  • Prior service on an ACHE of Greater Ohio committee is preferred.
  • Must possess good communication, leadership, and organizational skills.

Responsibilities:

  • Prepare for, attend, and actively participate in as many board meetings as possible (participation in 60% of meetings is a minimum requirement).
  • Prepare for, attend, and actively participate in the annual ACHE of Greater Ohio Strategic Planning Session.
  • Assist in member recruitment and retention efforts. This includes, but is not limited to speaking to student chapters, recommending colleagues for membership in ACHE, mentoring colleagues preparing for the Board of Governor’s Exam and promoting ACHE membership within their organization.
  • Volunteer for and willingly accept assignments and complete them thoroughly and on time.
  • Attend as many chapter educational events as practicable (attendance at one Chapter event annually is the minimum requirement).
  • Respond timely to ACHE of Greater Ohio communications and information requests.
  • Uphold the Chapter’s policies and procedures.
  • Adhere to the ACHE Code of Ethics.

Local Program Council’s  (LPC's)

As depicted in the Organizational Structure diagram earlier in this manual, ACHE of Greater Ohio Currently utilizes three local programming councils to deliver local educational events to members. In an attempt to bring ACHE programming closer to our chapter members, the chapter has created the LPC structure. The initial creation included the three largest metropolitan markets within the chapter geography.

The programming provides Face-to-Face education, qualified educational and networking opportunities. Each LPC is charged with offering two Face-to-Face programs, and at least one networking event. Those lpc's are listed below.

LPC Positions

Is the leader of the Local Program Council and is responsible for calling and presiding at Council meetings. The Council Chair also provides direction and coordination for local programs and services and communicates regularly with the Chapter President and Board. The Local Program Council Chair may also serve on the Chapter Board, at the discretion of the Chapter President.

Responsibilities:

  • Monitor the progress of Local Program Council goals.
  • Arrange and call all meetings of the committee members with LPC Secretary.
  • Serve as the primary spokesperson for the Chapter within the Local Program Council community and as a liaison with Chapter.
  • Advise over all Local Program Council business meetings.
  • Conduct meetings, formulate ideas, and delegate responsibility.
  • Uphold the Chapter’s policies and procedures, handle issues & challenges, and address issues among Chapter members.
  • Inform Chapter of upcoming programs/recruitment efforts.
  • Sign and follow through on all of the obligations of contract(s) made with the site at which the program will be held.
  • Maintain accurate records of the Local Program Council’s financial status and pay bills approved by the Chapter’s board of directors.
  • Serve as a full voting member of the board and advise various committees, as assigned.

Supports the event programming and education of the Council working in conjunction with the Local Program Council Chair and Council members.

Responsibilities:

  • Develop the Local Program Council education programs of the chapter and identify key issues/topics to be addressed with the Chair.
  • Select, invite, and follow up with faculty to ensure their participation.
  • Assist with researching the venue sites for events.
  • Ensure that educational program applications to ACHE are submitted.
  • Coordinate education needs survey of Local Program Council.
  • Create promotional pieces to publicize event and registration forms.

Provides leadership and support to the Local Council by assisting the Chair and Chair Elect in all matters promoting the Chapter and local programming in the area.

Responsibilities:

  • Promote the chapter and ACHE to area healthcare executives.
  • Promote and market ACHE membership among chapter members who are not ACHE affiliates and throughout the chapter’s geographic area.
  • Promote ACHE advancement within the chapter.
  • Work with Local Program Council Chair & Chair-Elect to develop programs to attract new members.
  • Maintain a record of Local Program Council meetings (monthly LPC calls, Annual Retreats, leadership touch base), including confirming agenda and taking minutes for dissemination to LPC membership.
  • Coordinate Student Representatives from nearby colleges and universities.
